These Terms of Service govern your use of orochemsilica.com and any purchase you make through it. The site is operated by Orochem Silica ("Orochem Silica", "we", "us", "our"). By browsing this site or placing an order you agree to these Terms. If you do not agree, please do not use the site.

1. Intended use of our products

Orosil silica gel is supplied for laboratory, analytical, research, process-development and industrial use by persons who are trained and qualified to handle laboratory chemicals. Unless we have confirmed otherwise in writing for a specific grade and lot, our products are not sold for, and must not be used as or in, human or veterinary drugs, food, dietary supplements, cosmetics, medical devices, or any application implanted in or applied to the human body. You are responsible for determining whether a product is suitable for your intended application and for obtaining any licence, permit or approval that application requires.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, and able to enter into a binding contract in order to purchase from this site. Orders may be placed by businesses, institutions and qualified individuals.

3. Orders and acceptance

Your order is an offer to buy. We accept it when we send you a shipping confirmation. We may decline or cancel any order, in whole or in part, including where the product is out of stock, where the price or product description was published in error, where we cannot verify the payment or delivery details, or where we reasonably believe the intended use is unlawful or unsafe. If we cancel a paid order we will refund it in full.

4. Prices, taxes and payment

All prices are shown in US dollars and exclude sales tax and shipping, which are added at checkout. Prices, specifications and availability may change without notice. Where we are registered to collect sales tax we will collect it on merchandise and on shipping charges in accordance with the rules of the destination state. If you hold a valid resale or exemption certificate, send it to us before ordering so it can be applied. Payment is taken in full at the time of order unless separate written credit terms have been agreed.

5. Quantities and bulk orders

Quantities shown online are for standard packaged sizes. Larger, palletised or contract volumes are supplied against a written quotation, and the terms of that quotation prevail over these Terms where the two conflict.

6. Shipping, title and risk

Shipping timeframes and rates are set out in our Shipping Policy. Delivery dates are estimates provided by the carrier and are not guaranteed. Unless a written quotation states otherwise, title and risk of loss pass to you when the goods are tendered to the carrier at our facility.

7. Product documentation

A Certificate of Analysis (CoA) is available for the lot supplied, and a Safety Data Sheet (SDS) is available for every product we sell. Both are provided on request and we recommend you read the SDS before opening any container. Specifications published on this site are typical values and are not a guarantee of the properties of any individual lot; always rely on the CoA supplied with your lot.

8. Your handling and compliance obligations

You agree to receive, store, handle, use, transport and dispose of our products in accordance with the SDS, the container label and all applicable federal, state and local laws and regulations, including workplace health and safety, hazard communication and waste-disposal requirements. If you resell or redistribute our products you agree to pass on the SDS and all hazard information to each recipient.

9. Limited warranty

We warrant that, at the time of shipment, the product conforms to the specification stated on its Certificate of Analysis. This is our only warranty. To the fullest extent permitted by law, all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, are excluded. Your sole remedy for a non-conforming product is replacement of the material or a refund of the amount you paid for it, at our option, subject to our Return and Refund Policy.

10. Limitation of liability

To the fullest extent permitted by law, Orochem Silica is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, data, production or goodwill, arising out of or in connection with the products or this site, even if we have been advised of the possibility of such damages. Our total aggregate liability in connection with any product is limited to the amount you paid for that product. Nothing in these Terms excludes any liability that cannot lawfully be excluded.

11. Indemnity

You agree to indemnify and hold harmless Orochem Silica and its officers, employees and agents against any claim, loss, damage, liability, cost or expense arising from your handling, use, misuse, storage, resale or disposal of our products, or from your breach of these Terms.

12. Accuracy of site content

We work to keep product information, pricing and availability accurate, but the site may contain typographical errors, inaccuracies or omissions. We reserve the right to correct any error and to cancel any order placed on incorrect information, including after an order has been submitted.

13. Intellectual property

The Orochem and Orosil names, the content of this site, and all text, images, product data and documentation on it are owned by or licensed to Orochem Silica and are protected by intellectual property law. You may not reproduce, republish or use them commercially without our written permission.

14. Prohibited use of the site

You may not use this site for any unlawful purpose, to infringe the rights of others, to transmit malicious code, to scrape or harvest data by automated means without our consent, or to interfere with the security or operation of the site.

15. Third-party services

This site runs on Shopify and uses third-party payment, shipping and analytics providers. Your use of those services is also subject to their own terms and privacy practices.

16. Personal information

Information you submit through the site is handled in accordance with our Privacy Policy.

17. Governing law and disputes

These Terms and any dispute arising from them or from products purchased through this site are governed by the laws of the state in which Orochem Silica maintains its principal place of business, and of the United States, without regard to conflict-of-laws rules. You agree that the state and federal courts serving that location have exclusive jurisdiction, and you waive any objection to venue there.

18. Severability and waiver

If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force. Our failure to enforce any provision is not a waiver of it.

19. Changes to these Terms

We may update these Terms at any time by posting a revised version on this page with a new "last updated" date. The version in force when you place an order is the version that applies to that order.
